Terms and Conditions

These terms and conditions (the "Terms and Conditions") govern access to and use of the website https://legimus.ai, the Legimus AI digital platform (the "Platform") and all services and solutions offered by Legimus S.A.C., identified with RUC No. 20614130157, domiciled at Calle Tarapaca 1106, Tacna, Peru, commercially operating under the name "Legimus AI" (hereinafter, "Legimus AI" or the "Provider").

These Terms and Conditions apply to any person who visits the website, accesses the Platform or contracts and uses Legimus AI services (the "Services").

BY ACCESSING THE PLATFORM, BROWSING THE WEBSITE AND/OR USING THE SERVICES, YOU DECLARE THAT YOU HAVE READ AND FULLY ACCEPT THESE TERMS AND CONDITIONS AND THE PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE PLATFORM OR CONTRACT THE SERVICES.

These Terms and Conditions constitute a legal agreement between you (the "User" or the "Client") and Legimus AI, and govern the main conditions of access and use of the Platform and contracting of the Services. Legimus AI may update these Terms and Conditions at any time by publishing the new version on the website. Continued use of the Platform or the Services after publication of changes implies acceptance of the updated version.

Legimus AI may, at any time and at its sole discretion, suspend or terminate access to the Platform and/or the provision of the Services, in whole or in part, without giving rise to any right to compensation in favor of the User, except as expressly established by applicable consumer protection legislation.

FIRST: REGISTRATION AND ACCOUNT

1.1 Account registration

To use certain Services, the User must create an account on the Platform (the "Account"). Access to and use of the Platform and the Services is only permitted to those who accept these Terms and Conditions and comply with applicable legislation.

1.2 Use on behalf of an organization

If the User accesses the Platform or contracts the Services on behalf of a company or other legal entity (the "Organization"), they declare and warrant that they have sufficient authority to accept these Terms and Conditions and legally bind said Organization. In that case, references to the "User" or "Client" shall be understood as referring to the Organization.

1.3 Capacity

Use of the Platform and contracting of the Services is reserved for persons over 18 years of age with legal capacity to contract. Use by minors is prohibited.

1.4 Account responsibility

The User is solely responsible for all activity conducted from their Account, including the processing of third-party data managed through the Platform.

1.5 Access credentials and security

The User must create a personal password to access their Account and keep it confidential. They are obligated to:

Not share their password with third parties.
Immediately notify Legimus AI of any unauthorized use of their Account or suspected security breach.

Legimus AI shall not be liable for losses or damages arising from the User's failure to comply with these obligations.

1.6 Personal and non-transferable nature of the Account

Each Account is personal and non-transferable. The User may not use third-party Accounts or allow third parties to use their Account without prior written authorization from Legimus AI.

1.7 Accuracy of information

Upon registration, the User will be asked for certain information, which may include contact data, company data, industry, approximate customer volume, among others. The User declares that all information provided is true, accurate, current and complete, and commits to keeping it updated.

The data provided will form part of a database owned by Legimus AI, processed in accordance with the Privacy Policy and Peruvian personal data protection legislation.

1.8 Legimus AI powers over registration

Legimus AI may, at its sole discretion, reject a registration, suspend or cancel a User's Account if it detects false information, misuse of the Services or breach of these Terms and Conditions.

1.9 Subscription

The Services are provided on a subscription basis, with recurring charges (e.g., monthly or annual), in accordance with the plans and conditions indicated in the pricing section of the website and in Clause FOUR.

SECOND: USE OF THE SERVICES

2.1 Purpose of the Services

Through the Platform and the Services, Legimus AI enables the User to implement and manage artificial intelligence agents for the assistance and support of their customers on digital channels (e.g., e-commerce, WhatsApp or others), including but not limited to:

Answering frequently asked questions from customers or potential customers.
Assisting in online purchasing processes.
Integrating with e-commerce platforms, automation tools or other Client systems.

2.2 Scope of interactions

Interactions between Legimus AI agents and the User's customers or potential customers may be unlimited or subject to limits depending on the contracted plan. The details of such limits, if any, will be indicated in the plan description.

2.3 Use linked to the Client's activity

The Services must be used exclusively within the scope of the User's commercial or professional activity. It is not permitted to use the Services for purposes unrelated to their business, illegal purposes, or purposes different from those communicated to Legimus AI. In case of misuse, Legimus AI may suspend or cancel the Account and/or the Services without liability on its part.

THIRD: USE OF THE PLATFORM

3.1 Access and restrictions

Legimus AI may restrict or deny access to the Platform to any person, at any time, when it considers that there is a breach of these Terms and Conditions, improper use of the Services or a risk to the security or integrity of the Platform.

The User is responsible for having the devices, systems and Internet connection necessary to access the Platform and use the Services.

3.2 User obligations

When using the Platform and the Services, the User agrees to:

Use the Account solely for their own business and not assign or transfer it to third parties without authorization from Legimus AI.
Not allow third parties to use their Account without their consent and without authorization from Legimus AI.
Not access or attempt to access other users' Accounts without authorization.
Not attempt to damage the Platform, its systems or those of third parties, or circumvent security or authentication measures.
Keep their password secure and confidential.
Not access, manipulate or attempt to obtain data from Legimus AI or other clients or users without authorization.
Not introduce viruses, malware, malicious scripts or any element that could damage or affect the Platform or related systems.
Comply with all applicable regulations, including personal data protection and consumer protection laws, in the jurisdiction where the Services are used (including INDECOPI regulations where applicable).
Not resell, sublicense, rent or transfer the Services to third parties without prior written authorization from Legimus AI.
Not use the Services for illegal purposes, fraud, scams, phishing or any activity contrary to law or morality.
Not impersonate third parties or falsely represent a relationship with persons or entities.
Not publish or upload, through the Services, sensitive data or personal information of third parties without the necessary authorizations.
Not send spam, unsolicited mass communications or unauthorized advertising content through channels managed with the Services.
Not attempt to analyze or test the security of the Platform or Legimus AI systems in an unauthorized manner.
Not interfere with the use of the Platform by other users.

Legimus AI may investigate possible violations and, if deemed necessary, suspend or deactivate the User's Account.

FOURTH: PAYMENT FOR THE SERVICES

4.1 Plans and rates

The rates applicable to the Services shall be those indicated in the pricing section of the Legimus AI website or those agreed upon in writing between the User and Legimus AI. Rates may be expressed in USD / PEN and may or may not include taxes, as expressly indicated.

Legimus AI may modify rates in the future, notifying changes with reasonable advance notice and applying them to subsequent periods, never to periods already paid.

4.2 Form and timing of payment

Payment for the Services must be made in advance for each subscription period (monthly, annual or other), through:

Credit and/or debit cards;
Online payment gateways, such as Culqi or others that Legimus AI may incorporate;
Shopify Billing, for Users who contract the Services through the Shopify App Store;
Other payment methods authorized by Legimus AI.

The User authorizes recurring charges according to the contracted plan, as long as they do not cancel the subscription in accordance with these Terms and Conditions.

4.3 Non-payment

In case of default or non-payment:

Legimus AI may partially or fully suspend access to the Platform and the Services until the User regularizes the situation.
There shall be no obligation to refund amounts corresponding to periods already started or used, unless Peruvian consumer protection regulations provide otherwise in specific cases.

FIFTH: LICENSE OF USE

As long as the User:

Maintains their Account active; and
Is current on payments for the Services;

Legimus AI grants them a limited, non-exclusive, revocable, non-transferable license to access and use the Platform and the Services in accordance with these Terms and Conditions.

This license:

Does not imply assignment of intellectual property rights.
May be revoked by Legimus AI in case of breach of these Terms and Conditions.

SIXTH: LEGIMUS AI INTELLECTUAL PROPERTY

All rights over:

The software, source code, algorithms, AI models, designs, interfaces, logos, trademarks, trade names, texts, images, videos, documentation, and
Any other content developed or used by Legimus AI for the provision of the Services,

are and shall remain the exclusive property of Legimus AI or its licensors.

The User agrees to:

Not copy, decompile, reverse engineer, modify, distribute, sell or exploit in any unauthorized manner the Platform or the Services.
Maintain intact all intellectual property notices included in the Platform.

Legimus AI may mention the User as a client, using their trade name and logo in client listings and commercial materials, unless the User expressly prohibits it in writing.

SEVENTH: CLIENT CONTENT AND INTELLECTUAL PROPERTY

Through the Services, the User may upload, configure or integrate:

Texts, product catalogs, prices, images, scripts, knowledge bases, messages, among others,

(the "Client Intellectual Property").

The User:

Retains all rights over the Client Intellectual Property.
Is solely responsible for ensuring that such content complies with the law, does not violate third-party rights and is suitable for its purpose.

The User shall not upload or use, through the Services, content that:

Is illegal, defamatory, discriminatory, abusive or contrary to morality.
Violates intellectual property rights or data protection rights of third parties.
Contains sensitive data without the corresponding consent.

Legimus AI may, but is not obligated to, review, block or remove Client content that it considers violates these Terms and Conditions.

EIGHTH: USE OF CLIENT INTELLECTUAL PROPERTY BY LEGIMUS AI

The User grants Legimus AI a non-exclusive, worldwide, free-of-charge license for the duration of the contractual relationship, to:

Use, host, copy, process and display the Client Intellectual Property,
Solely for the purpose of providing, maintaining and improving the Services, as well as for support, monitoring and security purposes.

Legimus AI may use aggregated and anonymized data derived from the use of the Services (e.g., usage metrics, types of queries, response times) to:

Improve its models and services,
Internal analytics and statistics,

always without individually identifying the User or their customers.

NINTH: PLATFORM OPERATION AND WARRANTIES

Legimus AI will make reasonable efforts to keep the Platform available and functioning properly. However:

It does not guarantee uninterrupted availability of the Services.
There may be interruptions due to scheduled maintenance, updates, third-party provider failures (hosting, payment gateways, integrations, etc.) or other events beyond its control.

Legimus AI does not warrant that:

The Platform will be free of errors, viruses or other harmful elements.
The Services will meet particular expectations of sales, conversions or specific business results of the User.

The User acknowledges that the use of the Services is at their own risk and that Legimus AI is a support and automation tool, not a guarantee of a particular economic result.

TENTH: PRIVACY AND PERSONAL DATA PROTECTION

Legimus AI processes personal data in accordance with:

Law No. 29733, the Personal Data Protection Law, and its regulations, and
Its Privacy Policy, available at /privacy.

By using the Platform and the Services, the User declares that they have read and accepted said Privacy Policy.

The User, for their part, is responsible for:

Complying with personal data regulations with respect to their own customers and end users.
Obtaining the necessary consents when uploading personal data to the Platform or integrating systems that contain such data.

ELEVENTH: SHOPIFY APP STORE AND BILLING

For Users who access and contract the Services through the Shopify App Store, the following additional conditions apply:

Payment processing: payments for the Services are processed through Shopify Billing. Legimus AI does not directly collect or store payment card information for these Users. All billing is managed in accordance with Shopify's terms and policies.
Data integration: by installing the Legimus AI app from the Shopify App Store, the User authorizes Legimus AI to access data from their Shopify store through Shopify APIs, including product data, order data and store information, solely for the purpose of providing the Services.
Shopify terms: Users who access the Services through Shopify must also comply with Shopify's Terms of Service and Shopify's Privacy Policy. In case of conflict between these Terms and Conditions and Shopify's terms regarding the use of the Shopify App Store, Shopify's terms shall prevail for matters specific to the Shopify platform.
App removal: the User may uninstall the Legimus AI app from their Shopify store at any time. Uninstallation will result in the termination of data access through Shopify APIs and the cancellation of Shopify Billing charges for the Services.

TWELFTH: LINKS TO THIRD-PARTY SITES

The Platform and the Services may include links to third-party websites or services (e.g., e-commerce platforms, automation tools, payment gateways). Legimus AI is not responsible for:

The content, policies or practices of such third parties.
Problems, damages or losses arising from the use of those services.

The use of third-party services is subject to the terms and conditions established by those providers.

THIRTEENTH: INDEMNIFICATION

The User agrees to hold harmless Legimus AI, its directors, employees and representatives against any claim, demand, penalty, damage or loss arising from:

Improper use of the Platform or the Services.
Breach of these Terms and Conditions.
Violation of third-party rights (e.g., intellectual property, personal data) caused by the Client Intellectual Property or the User's use of the Services.

FOURTEENTH: CONFIDENTIALITY

During the relationship with the User, Legimus AI may access information that is confidential in nature ("Confidential Information"), such as business data, technical information, commercial strategies or other non-public information.

Legimus AI commits to:

Use Confidential Information solely for the provision and improvement of the Services.
Not disclose it to third parties, unless:

It is necessary for providing the Services (e.g., sub-processors),
There is a legal obligation or authority requirement,
The information is already public without fault of Legimus AI.

The User also agrees to keep confidential any non-public information of Legimus AI to which they may have access.

FIFTEENTH: RELATIONSHIP BETWEEN THE PARTIES

The relationship between the User and Legimus AI is of an independent commercial nature.

Nothing in these Terms and Conditions shall be interpreted as an employment relationship, agency, partnership or legal representation between the parties.

The User is solely responsible for their employment, tax and social security obligations with respect to their own personnel and third parties.

SIXTEENTH: LIMITATION OF LIABILITY

To the extent permitted by applicable law:

Legimus AI shall not be liable for indirect damages, lost profits, data loss or any consequential damages arising from the use or inability to use the Platform or the Services.
The total liability of Legimus AI to the User, for any concept related to the Services, shall be limited to the amount actually paid by the User to Legimus AI for the Services during the three (3) months prior to the event giving rise to the claim.

Nothing in these Terms and Conditions excludes or limits non-waivable consumer rights established by Peruvian legislation.

SEVENTEENTH: MODIFICATIONS

Legimus AI may modify these Terms and Conditions at any time. The current version will always be available at https://legimus.ai/terms.

When significant changes are made, Legimus AI may notify the User through reasonable means (e.g., email or notices on the Platform). Continued use of the Services after publication of the modifications implies acceptance of the new terms.

If the User does not agree with the new version, they must stop using the Services and request the cancellation of their Account.

EIGHTEENTH: TERMINATION

The User may request the cancellation of their subscription and/or the closure of their Account at any time, following the procedure indicated on the Platform or by contacting Legimus AI at [email protected].

Cancellation:

Will prevent future charges.
Will not give rise, except as otherwise provided by law or specific policies in force, to refunds for periods already invoiced or in progress.

Legimus AI may terminate the relationship and cancel the User's Account in case of:

Breach of these Terms and Conditions.
Non-payment.
Illegal or improper use of the Platform or the Services.

Certain provisions that by their nature must remain in effect after termination (e.g., intellectual property, confidentiality, limitation of liability) shall continue to apply.

NINETEENTH: GOVERNING LAW, JURISDICTION AND COMPLAINTS BOOK

These Terms and Conditions are governed by the laws of the Republic of Peru.

For any dispute related to the interpretation or execution of these Terms and Conditions that cannot be resolved directly between the parties, the courts and tribunals of Tacna shall have jurisdiction, without prejudice to the mechanisms provided by consumer protection regulations and INDECOPI's jurisdiction where applicable.

Without prejudice to the foregoing, the User may submit complaints in Legimus AI's virtual Complaints Book, available at /libro-de-reclamaciones, in accordance with applicable Peruvian regulations.
